Notice of 2021 Annual General Meeting
The AGM will take place using Zoom 
at 7pm on Friday 10 December 2021

 

Chanonry Sailing Club is in the process of moving its assets and liabilities from Chanonry Sailing Club, Community Amateur Sports Club (CASC) to Chanonry Sailing Club, Scottish Charitable Incorporated Organisation (SCIO). This process is expected to be completed by the end of January 2022 when Chanonry Sailing Club (CASC) will be wound up. This AGM will serve as the AGM for both Chanonry Sailing Club (CASC) and Chanonry Sailing Club (SCIO).

An invitation to join the Zoom meeting will be sent out to the email address given by members in their membership details at least 7 days in advance of the meeting. To avoid delay members should join the meeting about 10 minutes in advance of 7pm and need to “mute” themselves unless invited to speak by the Commodore to their question or item for decision as notified below at Note 5.
The Committee understands that the Club has a handful of members with no email address. This notification is also sent by post to these members – if possible, they should take advantage of online facilities provided by a friend or family member – they will need to let the Membership Secretary have the appropriate email address well in advance of the meeting – send to [email protected]

Note 1

Note 2

Office-bearers of Chanonry Sailing Club (SCIO), namely the Commodore, Treasurer and Club Secretary, will be directly elected by the membership at the AGM. Up to eight general board members can be elected. Office-bearers and general board members of Chanonry Sailing Club (SCIO) duly elected at the AGM, will be deemed to be also elected as Officers and general committee members of Chanonry Sailing Club (CASC) until such time as it is wound up. Please inform the Club Secretary at [email protected]. if you wish to stand for election, preferably by Friday 3 December 2021. Note 3

CSC Constitution membership changes proposal

This is a proposal for a new membership fee structure that simplifies membership categories, such that all members have access to all Club activities and share the cost of the main club outgoings – being facilities, insurance and utilities. The proposed fee structure has two components, one for membership across all water sports and one for boat storage. The full proposal can be found via this link: chanonry.org.uk/agm-2021.html. Adopting this proposal would require a Constitution amendment as follows.

Motion – that the paras 12, 13, 14 and 24 of the Chanonry Sailing Club (SCIO) Constitution be changed as set out below to reflect a change from membership defined in various categories to a single class of membership.

Current paragraphs

12. The voting membership shall consist of ordinary, associate, family, student, rowing, life and honorary members. For the avoidance of doubt each family member 18 years and over shall have an individual vote.

13. In addition, the board may from time to time create categories of non-voting membership including junior, visitor, temporary and affiliated organisations who will not be entitled to vote at general meetings of the organisation.

14. The definition of categories of membership and other matters such as the entitlements attaching to each category of membership and relevant subscription rates and any other charges shall be set by the board from time to time.

24. Temporary members will not appear on the register of members.

Proposed revised paragraphs

12. The voting membership shall consist of all members aged 18 years and over. For the avoidance of doubt each family member 18 years and over shall have an individual vote.

13. The board may from time to time create categories including visitor and affiliated organisations who will not be entitled to vote at general meetings of the organisation.

14. The definition of membership and other matters such as the entitlements attaching to membership and relevant subscription rates and any other charges shall be set by the board from time to time.

24. Visitors will not appear on the register of members.

Motion - Members are recommended by Committee/ Board to elect separately both Helen Jenner and Richard Jenner as Honorary members.

Note 5

Questions arising from the board reports and other items for inclusion on the agenda from members must be notified in writing or by email, including a brief synopsis of the issue and a motion to be voted on, to the Club Secretary by Friday 3 December 2021. Only items and questions received by this deadline will be added to the agenda. Items not on the agenda will not be discussed.
